When you say reject, what do you mean? If your trading partner is sending
a TS 997 indicating a reject, this is not correct according to the
standard. The text you cite concerning the TDS02 is in a semantic note,
which is outside the scope of what the 997 can report (syntax errors only).

However, if they are rejecting your invoice by other means due to what they
perceive as a semantic violation, that's a different case. I do note that
there's a comment on the TDS segment that says TDS02 is required if the
dollar value subject to discount is not equal to the dollar value of
TDS01. So, in your circumstances I would probably not send TDS02.

As to your specific question "Should TDS02 be qty X unit price EXCLUDING
promotional allowances?" - The crux of the issue is whether or not *in
your business process* any charges and allowances are included in the
discount basis. Since you don't offer a discount, the concept is pretty
irrelevant. But, since the customer is always right, if they insist on you
sending them a meaningless TDS02, you might ask them what they want. (I
very rarely see it used!).
