GXS Interconnect Agreement

Has anyone else received an "Interconnect Agreement"
from GXS?
The first paragraph states "The undersigned company
("Client") hereby requests that GXS, Inc. ("GXS")
permit clients to exchange transactions through a
third party interconnect with ****** via GXS
interchange services. For such services, Client
hereby agrees to pay GXS a non-refundable, annual
up-front fee of three hundred fifty dollars ($350)."
Any comments?
****** is the name of GXS's customer
